A collapse of the proposed deal - referred to as a cash-rich split-off - would mark the latest setback for an erstwhile Internet leader struggling to turn its business around and appease unhappy shareholders.

One person briefed on the situation described the deal as effectively dead in the water following unreasonable terms sought by Yahoo during negotiations in Hong Kong.

But Yahoo appeared to see things differently. The company had not been informed that the tax-free deal was officially off the table, and it remained committed to continuing negotiations, according to another source familiar with the matter.

Representatives from Yahoo and Alibaba Group declined to comment.

The sources said Yahoo and its Asian partners could still strike another, taxable, deal, though that remained to be seen.

Shares of Yahoo were down 5.8 percent to $15.19 in afternoon trade.

"I think the deal is either dead or it's going to take a lot longer to complete, which means we don't have a near term catalyst; hence the selloff," said Brett Harriss, an analyst with Gabelli & Co.

The deal would have seen the exchange of Yahoo's slices of Alibaba and Yahoo Japan back to those companies, in return for unspecified assets.

Investors had hoped that Yahoo, after years of foot-dragging, would finally arrange for the sale of its Asian assets, considered among the most valuable parts of its portfolio.

AllThingsDigital, which initially reported the snag in the negotiations on Tuesday, cited one source as saying discussions "completely halted" after negotiators from Yahoo - whose chairman, Roy Bostock, is due to step down; and whose chief executive, Scott Thompson, is barely a month into the job - changed tack on what they wanted from the deal. The report gave no details.

It was unclear what exactly had caused the sudden impasse in negotiations, roughly two months after the various parties had agreed to basic terms for a deal.

The slightly different interpretations over the current state of the deal by people familiar with the matter raised the possibility that the public airing of the latest snag could be a negotiating tactic.

"It could be a negotiating ploy by either side, or it really could be a breakdown in negotiations," said Gabelli's Harriss.

Analysts say Yahoo failed to take aggressive action in past years to reverse a decline in advertising revenue in the face of competition from Google Inc and Facebook, incensing shareholders who blamed the Yahoo board for waffling.

This month, Bostock announced he and three other directors would step down, following co-founder Jerry Yang out the door. Yang was excoriated for turning down a rich Microsoft Corp acquisition bid years before.

Billy Connolly to play dwarf warrior in "The Hobbit" (Reuters)

LOS ANGELES, Feb 8 (TheWrap.com) ? Peter Jackson has chosen Billy Connolly to play a great dwarf warrior in New Line's two "The Hobbit" movies, thus completing the casting of both films, the director said Wednesday.

"We could not think of a more fitting actor to play Dain Ironfoot, the staunchest and toughest of the Dwarves, than Billy Connolly, the Big Yin himself," Jackson said in a written statement. "With Billy stepping into this role, the cast of 'The Hobbit is now complete. We can't wait to see him on the battlefield!"

Jackson directed all three "Lord of the Rings" films and is now in production on "The Hobbit: An Unexpected Journey" and "The Hobbit: There and Back Again" in New Zealand.

Ian McKellen reprises the role of Gandalf the Grey, which he played in "The Lord of the Rings" triology. Martin Freeman is back as Bilbo Baggins.

Also returning are Cate Blanchett as Galadriel, Ian Holm as the elder Bilbo, Christopher Lee as Saruman, Hugo Weaving as Elrond, Elijah Wood as Frodo, Orlando Bloom as Legolas and Andy Serkis as Gollum.

"The Hobbit: An Unexpected Journey" is scheduled for a December 14 release. "The Hobbit: There and Back Again" is slated to be released December 13, 2013.

Fran Walsh, Philippa Boyens, Guillermo del Toro and Jackson wrote the screenplays based on J.R.R. Tolkien's epic.

Jackson is producing with Fran Walsh and Carolynne Cunningham.

Its shares fell 1.1 percent to $66 in premarket trading from Wednesday's close of $66.74 on the New York Stock exchange.
PepsiCo, maker of Sierra Mist soda, Tropicana juice and Gatorade sports drink, also reported better-than-expected fourth-quarter profit and forecast a 5 percent decline in 2012 earnings as it increases advertising and marketing by $500 million to $600 million.
The investment will be focused on 12 brands, including Pepsi-Cola, Lay's, Gatorade, Tropicana, Doritos and 7-UP. It is trying to improve performance in North America, where it lags behind archrival Coca-Cola Co.
For 2013, PepsiCo expects earnings to grow at a high-single-digit rate.
The job cuts will occur in 30 countries, PepsiCo said.
The $1.5 billion in extra savings is in addition to $1.5 billion it already planned to save over that period.
PepsiCo also said that Massimo D'Amore, president of its Global Beverages Group, would retire at the end of February.
The company reported a fourth-quarter profit of $1.42 billion, or 89 cents per share, up from $1.37 billion, or 85 cents per share, a year earlier.
Excluding items, PepsiCo earned $1.15 per share, topping analysts' average estimate of $1.13 per share, according to Thomson Reuters I/B/E/S.
Revenue rose 11 percent to $20.2 billion.

Updated at 12:54 a.m. ET: The Los Angeles Unified School District is replacing the entire staff of Miramonte Elementary following the arrest of two teachers on lewd conduct charges last week, Superintendent John Deasy told parents at a meeting Monday night, the Los Angeles Times reported.

Positions will be filled by qualified teachers and other workers already on a placement or rehiring list, the Times report stated. But the displacement of the current staff could be temporary, according to the report.

Teacher Mark Berndt was charged last week with committing lewd acts on 23 children. Another teacher, Martin Springer, was arrested Friday on suspicion of fondling two girls in his classroom.

Deasy said staffers are being replaced because a full investigation of allegations is disruptive, and staffers require support to get through the scandal.

All employees will be paid during the investigation, district spokesman Tom Waldman said. Officials didn't know how long the investigation will take.

There will also be a psychiatric social worker in every classroom to help students and staff cope with any issues that need to be dealt with.

United Teachers Los Angeles said in a statement that union leaders and staff have met with instructors at Miramonte.

"We support a thorough, vigorous and fair investigation of all allegations," the statement said. "It's everyone's responsibility to ensure that any and all allegations are thoughtfully and carefully investigated."

Maria Jimenez, 51, said the parents of children enrolled at Miramonte are divided over the move. "Some are in favor. Others are against it because they did this without advising us or consulting us," she said.

Many children stayed home Monday while parents demanded more protection at an elementary school where two teachers are suspected of molesting students in class.

More than a quarter of the students at Miramonte Elementary School were absent, with attendance reaching just 72 percent, according to figures from the Los Angeles Unified School District.

School police watched and sheriff's deputies were on hand, but there was no violence.

The district set up a toll-free hotline on Monday to receive reports of suspected abuse at Miramonte, said school board President Monica Garcia in a statement.

Garcia added that the district would step up efforts to ensure students and staff realized the importance of reporting misconduct.

In the same school district, a janitor at a San Fernando Valley elementary school was arrested on suspicion of committing a lewd act with a child on a campus.

A Los Angeles public school teacher accused of engaging in lewd acts with students, allegedly had questions raised about his behavior more than 20 years ago. KNBC's Robert Kovacik reports.

Paul Adame, 37, was taken into custody after a mother told police on Sunday that he had inappropriate contact with her child during school hours Friday at Germain Elementary School in the Chatsworth area north of Los Angeles, police Capt. Kris Pitcher said at a news conference.

The captain declined to provide details but urged anyone who might know of other possible victims to contact police.

Adame was booked and released on $100,000 bail Monday. It could not be immediately determined if he had an attorney.

There was no immediate connection between the arrest of the janitor and the cases at Miramonte, which is 15 miles away in an unincorporated county area of South Los Angeles.

'Chronicle' edges Radcliffe's 'Woman' with $22M

LOS ANGELES (AP) ? Some unknown kids with superpowers have nudged out the world's most famous teen wizard at the weekend box office.

The 20th Century Fox release "Chronicle," featuring a relatively unknown cast as youths who gain telekinetic abilities, debuted as the No. 1 movie with $22 million.

Sunday studio estimates put "Harry Potter" star Daniel Radcliffe's ghost story "The Woman in Black," released by CBS Films, just behind with a $21 million opening.

The results were close enough that the No. 1 and 2 rankings could switch when final numbers are released Monday.

The two movies had healthy starts considering it was Super Bowl weekend, when few people go to theaters on Sunday because of the big game.

Each movie landed in the all-time top-10 list for Super Bowl weekend debuts, which is headed by the $31.1 million opening for 2008's "Hannah Montana & Miley Cyrus: Best of Both Worlds Concert," according to box-office tracker Hollywood.com.

"To have two movies over $20 million on a Super Bowl weekend is really strong," said Hollywood.com analyst Paul Dergarabedian. "If the Super Bowl is as close as these two movies, that'll be a really good Super Bowl."

Both movies packed in solid teen and early-20s crowds, Hollywood's bread-and-butter audience that had been giving movies a pass during a box-office slide late last year.

"Chronicle" was "designed and made for a younger demographic. That demographic has been the one that's been missing from theaters," said Chris Aronson, head of distribution for 20th Century Fox. "There's something very unique and very innovative about this movie that they got wind of. There was a lot of pre-release chatter on social media that made a connection with this audience."

From first-time director Josh Trank, "Chronicle" relies on documentary-style, hand-held filming techniques to tell the story of three teens (Dane DeHaan, Michael B. Jordan and Alex Russell) who put their newfound superpowers to work in mischievous and eventually dark ways.

"Chronicle" added $13 million overseas for a worldwide total of $35 million.

At No. 4 with an $8.5 million debut was another Alaska adventure, Universal Pictures' family film "Big Miracle," with Drew Barrymore and John Krasinski aiming to save three whales trapped by Arctic ice.

Pop star Madonna's drama "W.E." had a modest opening in limited release, pulling in $45,000 in four theaters. Directed and co-written by Madonna, "W.E." blends the real-life romance of Wallis Simpson (Andrea Riseborough) and Britain's King Edward VIII (James D'Arcy) with a fictional modern story of a Manhattan woman (Abbie Cornish) in an unhappy marriage.

Hollywood finished the first month of 2012 with strong revenues that are running well ahead of last year's lackluster receipts. According to Hollywood.com, domestic revenues through Sunday totaled $967.5 million, up 14 percent from the same point last year.
